Services:

Sligo Literary Agency will, after offering formatting and editing suggestions, submit your work to major publishing houses in your field, and work with co-agents to represent your ms (with fiction) to the motion picture and television industry. We also work to sell the mass market paperback rights to your work, as well as its foreign rights.

Fees:

We will offer a six month author/agency contract which stipulates that Sligo Literary Agency will receive a 15% commission on all sales in the United States, and a 20% on all sales outside of the United States.

Our agency/author contract for authors of fiction and nonfiction is below.

Dear Mr. Bollinger:

This will confirm the following Agreement between us.

1. On the terms set forth below I hereby engage you as my sole and exclusive agent throughout the world to represent me in negotiations for the disposition of any and all rights to my literary work now entitled:

2. I represent that I have the right to enter into this Agreement with you.

3. You accept this engagement, and undertake to advise and consult with me at my request by telephone, email, U.S. mail, and to exert reasonable efforts to arrange for the disposition of the aforesaid rights in my behalf.

4. You agree to report to me promptly any offer that you obtain and will keep me informed of your activities under this Agreement.

5. I recognize that you are in the agency business generally. You shall have the right to render to others having creative properties similar to mine, services similar to those you are to render to me hereunder, even though the creative properties of others may be competitive with mine.

6. You shall provide me upon request, with copies of submission lists, and lists of rejections.

7. I shall have the final right of approval over the sale of the literary rights to the Work(s) and over all associated contractual terms.

8. In consideration of your services hereunder, and as your compensation therefore, I agree to pay you a commission of fifteen percent (15%) computed on the gross proceeds that I receive during or after the Term under all contracts covered by this Agreement except that your commission shall be:

(a) Twenty (20%) computed on gross proceeds I receive during or after the Term in all other countries of the world other than the United States and Canada;

(b) If you appoint a correspondent agent outside the United States and Canada to assist you in the disposition of any rights in the Work for use outside the United States and Canada, the payments of such agents shall be your responsibility.

(c) If you appoint a correspondent agent outside the United States and Canada, the combined commission for any such corresponding agent shall not exceed twenty percent (20%). Such commission shall be shared by you and the corresponding agent, to your mutual agreement.

9. In addition to commissions due you, I shall pay you for reimbursement of out-of-pocket expenses, including photocopying of manuscripts, postage, long distance calls, and books and galleys ordered from publishers for film, T.V., serial and foreign submissions. Documented expenses may be deducted and retained from gross monies and other consideration payable to me upon the sale of my work.

10. Gross proceeds received by any entity on my behalf or by any entity that I own or control shall, for the purpose of computing your commissions, be deemed proceeds received by me.

11. No breach of this Agreement shall be deemed material unless I notify you in writing within thirty (30) days after I learn of the breach, and you fail to remedy the breach within twenty (20) days, exclusive Saturdays, Sundays, and holidays after receipt of such notice.

12. Any controversy arising out of or in connection with this Agreement or any breach thereof shall be settled by arbitration in [San Luis Obispo, California] under the auspices of the American Arbitration Association in accordance with its rules. Judgment upon any award rendered by the arbitrators may be entered in any court having jurisdiction thereof.

13. Any notices that are required to be given hereunder, or that either of us may desire to give, shall be delivered by hand or sent by certified mail or prepaid telegram, addressed to me at:

14. When used in this Agreement:

(a) The term "entity" means any person, firm , or corporation.

(b) The term "disposition" or "exploitation" means the sale, leasing, licensing or any other disposition of any rights in the Work.

(c) The term "gross proceeds" means all monies and considerations of every kind, including but not limited to earnings, fees, royalties and bonuses paid, or payable, as a result of contracts covered by this Agreement, whenever received. Notwithstanding anything to the contrary contained herein, the term "gross proceeds" shall not include fees received from endorsements, personal services, speaking engagements, prize monies and grants.

(d) The phrase "contracts covered by this Agreement" means:

(i) Every contract, oral or written, entered into during the term hereof, directly or indirectly connected to the exploitation or disposition of any rights in the Work(s), and/or any rights, now known or hereinafter invented, in and to the Work, in any and all media throughout the world, whether such contracts are procured or negotiated by you, me or any third party;

(ii) All modifications and extensions of such contracts, all additions thereto, and all replacements thereto.

15. All monies belonging to me when received by you shall be faithfully accounted for and paid over to me within ten (10) days of actual receipt, provided, however, you may deduct from such monies any commission or reimbursement items you are entitled to under this Agreement. Monies belonging to me shall not be commingled with monies belonging to you, but shall be segregated and kept in a separate client account. Notwithstanding, you may have one or more such client accounts and may commingle monies of other clients with my monies in such account.

16. This Agreement is effective when countersigned by you below. I hereby irrevocably authorize you to collect and receive on my behalf all gross monies and other consideration due and payable to me in connection with any and all contracts hereunder.

17. This Agreement shall have an initial term of six (6) months (the "Term") from execution of this Agreement. Notwithstanding anything to the contrary contained herein, if I enter into one or more publisher agreements during the Term, then you shall be entitled to remain the sole and exclusive agent for foreign and other subsidiary rights in the Work(s) which are the subject of such agreement(s) for two years, even if this Agreement is otherwise terminated.

18. You shall be entitled to the above-referenced commission on any and all gross monies or other consideration paid or payable to me under any and all agreements entered into within six (6) months after termination of this Agreement, so long as the work which is the subject of such agreement(s) was submitted by you to the contracting party during the term of this Agreement. I further agree that you shall be entitled to retain any and all commissions received under this Agreement, notwithstanding the fact the publisher, or other contracting party, demands repayment of advances or royalties from me.

19. If any provision of this Agreement is held void or unenforceable, the balance thereof shall remain in force.

20. This Agreement cannot be canceled, altered or amended except in writing signed by both parties.

21. This Agreement shall bind my heirs, executors, and assigns. You shall have the right to assign this Agreement to any firm or corporation, controlled by you, or to a subsidiary wholly owned by you, but no such assignment shall relieve you of your obligation hereunder.

22. This Agreement may not be modified, altered or changed except by an instrument in writing signed by the party to be charged.
